Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sysfleet Merit (the "Service"), operated by Sysfleet Consulting LLC, doing business as Sysfleet Tech Solutions ("Sysfleet," "we," "us," or "our"), a Virginia limited liability company based in Lynchburg, Virginia, USA. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Not Legal Advice; No Attorney-Client Relationship

The Service is a research and organization tool that helps you catalog achievements, track opportunities, and organize supporting documents in relation to USCIS evidentiary criteria for certain nonimmigrant and immigrant visa classifications (including, without limitation, O-1A and EB-1A). Sysfleet is not a law firm, does not provide legal advice, and does not represent you before any government agency. No content, output, "readiness score," gap analysis, or other feature of the Service constitutes legal advice or a guarantee of any immigration outcome, and using the Service does not create an attorney-client relationship between you and Sysfleet or any of its personnel. You are solely responsible for consulting a licensed immigration attorney regarding your specific circumstances before filing any petition or relying on any output of the Service.

2. Eligibility and Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

3. Your Content

You retain all ownership rights in the documents, evidence, descriptions, and other materials you upload or submit to the Service ("Your Content"). By submitting Your Content, you grant Sysfleet a limited, non-exclusive, worldwide license to host, store, reproduce, and display Your Content solely as necessary to operate and provide the Service to you. We do not claim ownership of Your Content and do not use it to train third-party models or share it with third parties except as described in our Privacy Policy. You represent that you have all necessary rights to submit Your Content and that doing so does not violate any law or any third party's rights.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to submit fraudulent evidence;
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure;
  • Upload malicious code, or content that infringes the rights of others;
  • Scrape, resell, or redistribute the Service or the curated opportunity database without our written permission; or
  • Interfere with or disrupt the integrity or performance of the Service.

5. Third-Party Services

The Service relies on third-party infrastructure providers, including Supabase (database, authentication, and file storage) and Vercel (hosting). Your use of the Service is also subject to the acceptable use and security practices of those providers. We are not responsible for outages or data handling practices of third-party infrastructure providers beyond our reasonable control.

6. Intellectual Property

The Service, including its software, design, curated opportunity listings, and branding, is owned by Sysfleet Consulting LLC (d/b/a Sysfleet Tech Solutions) and protected by intellectual property laws. Except for Your Content, nothing in these Terms grants you any right, title, or interest in the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL RESULT IN THE APPROVAL OF ANY VISA PETITION OR ANY PARTICULAR IMMIGRATION OUTCOME.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYSFLEET CONSULTING LLC (D/B/A SYSFLEET TECH SOLUTIONS), ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR AN IMMIGRATION PETITION OUTCOME, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SYSFLEET FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sysfleet Consulting LLC (d/b/a Sysfleet Tech Solutions) and its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our discretion. Upon termination, your right to use the Service will immediately cease.

11. Dispute Resolution; Binding Arbitration; Class Action Waiver

You and Sysfleet agree to first attempt to resolve any dispute informally by contacting contactus@sysfleets.com. If a dispute is not resolved within 30 days, any claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the Federal Arbitration Act, on an individual basis only. YOU AND SYSFLEET EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Either party may instead bring an individual claim in small claims court where jurisdictionally appropriate.

12. Governing Law; Venue

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws principles. Subject to Section 11, the state and federal courts located in Virginia shall have exclusive jurisdiction over any dispute not subject to arbitration.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. These Terms constitute the entire agreement between you and Sysfleet regarding the Service.
